Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and EnRoute Growth Platform, a division of EnRoute Global Government LLC and EnRoute Global LLC ("EGP," "we," "us," or "our"), governing your access to and use of our websites, platforms, applications, products, and services (collectively, the "Services").

By accessing or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our AI Disclosure, and any additional terms applicable to specific products or services. If you do not agree to these Terms, you must not access or use the Services.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" or "Client" shall include that organization.

2. Description of Services

2.1 Service Categories

EGP provides a hybrid SaaS and professional services platform encompassing the following product families:

AI Search and Digital Authority Products:

• EGP MapBoost: Local search optimization and Google Business Profile management
• EGP PRBoost: Public relations amplification and digital press distribution
• EGP AIBoost: AI search visibility optimization across AI-powered search platforms
• EGP RepBoost: Reputation monitoring, management, and response automation

Automation and Operations Products:

• EGP VoiceBoost: AI-powered voice agent and telephony solutions
• EGP AutoBoost: Business process automation and workflow orchestration
• EGP ContentBoost: AI-assisted content creation and distribution

Compliance and Legal Products:

• EGP ComplianceGuard: Regulatory compliance monitoring and reporting
• EGP LegalBoost: Prepaid legal services and document management

Core Platform:

• EGP CRM: Customer relationship management platform
• EGP ORCA: Operational automation and workflow engine

2.2 AI-Powered Services

Many of our Services incorporate artificial intelligence, machine learning, and automated decision-making technologies. By using the Services, you acknowledge and agree to the terms set forth in our AI Disclosure, which is incorporated into these Terms by reference. See Section 15 for additional details.

2.3 Service Modifications

EGP reserves the right to modify, update, or discontinue any Service or feature at any time. We will provide reasonable notice of material changes that adversely affect your use of the Services.

3. Account Registration and Security

3.1 Account Creation

To access certain Services, you must create an account and provide accurate, complete, and current information. You agree to update your account information promptly to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify EGP immediately of any unauthorized use of your account or any other breach of security. EGP is not liable for any loss arising from unauthorized use of your account.

3.3 Authorized Users

If your subscription permits multiple users, you are responsible for ensuring that all authorized users comply with these Terms. You are liable for any actions taken by your authorized users.

4. Fees, Billing, and Payment

4.1 Pricing

All pricing for EGP Services is quoted in U.S. Dollars. Current pricing is available on our website or through your account dashboard. EGP reserves the right to modify pricing upon 30 days written notice, with changes taking effect at the start of the next billing cycle.

4.2 Billing Cycle

All recurring subscriptions are billed on the 25th of each month ("Billing Day 25"). Your initial billing date may be prorated to align with this cycle. Invoices are generated and payment is due on Billing Day 25.

4.3 Payment Processing Fees

Payment processing fees vary by payment method and are disclosed on each invoice as separate line items:

• Credit and Debit Card: A 3.5% processing fee is applied to all credit and debit card transactions.
• ACH Transfer: No processing fee is assessed on ACH payments.
• Wire Transfer: A $35.00 incoming wire fee applies per transaction.
• Returned Payments: A $50.00 return fee is assessed on all returned ACH transactions and returned wire transfers.

4.4 Payment Methods

EGP accepts payment by credit card, debit card, ACH transfer, and wire transfer. You authorize EGP to charge the payment method on file for all fees, including recurring subscription charges, processing fees, and any applicable taxes.

4.5 Late Payment and Account Freeze

If payment is not received by Billing Day 25, your account is subject to automatic service freeze on Day 26 of the month. During a service freeze, access to the Services may be suspended until payment is received in full. A late payment fee of 1.5% per month (or the maximum permitted by law, whichever is less) applies to all overdue balances.

4.6 Taxes

You are responsible for all applicable taxes, duties, and charges imposed by any governmental authority in connection with the Services, excluding taxes based on EGP's net income.

5. Subscription Terms and Cancellation

5.1 Subscription Terms

Certain Services require minimum commitment periods as specified in your service agreement or order form. Charges continue through the end of any minimum commitment period regardless of cancellation.

5.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting EGP support. Upon cancellation:

• Access to the Services continues through the end of the current billing cycle.
• Previously paid subscription fees are non-refundable except where required by applicable law.
• Any remaining account credits or prepaid balances must be requested within 30 days of cancellation. After 30 days, remaining credits are forfeited.

5.3 Refund Policy

All subscription fees, transaction fees, and associated charges are non-refundable. No refunds, credits, or prorated adjustments apply to partially used billing cycles, early cancellations, or unused features, except where required by applicable law.

5.4 Prepaid Services

Prepaid services, including third-party integrations, advertising credits, and premium add-ons, are non-refundable and non-transferable regardless of usage status.

6. Acceptable Use

6.1 Permitted Use

You may use the Services solely for lawful business purposes in accordance with these Terms. You agree not to use the Services in any manner that could damage, disable, overburden, or impair the Services.

6.2 Prohibited Activities

You agree not to:

• Use the Services to engage in any unlawful, fraudulent, or deceptive activity
• Transmit malware, viruses, or other harmful code through the Services
• Attempt to gain unauthorized access to the Services, other accounts, or computer systems
• Use the Services to send unsolicited commercial communications (spam) in violation of applicable law
• Reverse engineer, decompile, or disassemble any portion of the Services
• Resell, sublicense, or redistribute the Services without EGP's written consent
• Use the Services in violation of any applicable law, regulation, or third-party rights
• Scrape, crawl, or harvest data from the Services except as expressly permitted
• Circumvent any rate limits, usage caps, or technical restrictions
• Use AI-generated outputs from the Services for purposes that violate applicable law or regulations
• Misrepresent AI-generated content as exclusively human-created in contexts where such disclosure is required by law

6.3 Enforcement

EGP may investigate violations of these Terms and take appropriate action, including suspending or terminating your account, removing content, and reporting violations to law enforcement.

7. Intellectual Property

7.1 EGP Intellectual Property

The Services, including all software, designs, text, graphics, logos, trademarks, and other materials (the "EGP IP"), are owned by or licensed to EGP and are protected by intellectual property laws. You receive no ownership interest in the EGP IP. Your right to use the Services is limited to the license granted in these Terms.

7.2 Client Content

You retain all ownership rights in content, data, and materials that you upload, submit, or transmit through the Services ("Client Content"). You grant EGP a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Client Content solely as necessary to provide the Services.

7.3 AI-Generated Content

Content generated by EGP's AI-powered Services ("AI Output") is provided to you for your use subject to these Terms. You acknowledge that:

• AI Output may not be unique and other users may receive similar or identical output
• The legal status of AI-generated content under intellectual property law is evolving and uncertain
• EGP makes no representations or warranties regarding the protectability of AI Output under copyright, trademark, or other intellectual property laws
• You are solely responsible for reviewing, verifying, and editing AI Output before publication or commercial use

7.4 Feedback

If you provide suggestions, ideas, or feedback regarding the Services ("Feedback"), you grant EGP an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such Feedback without obligation to you.

8. Data Processing and Privacy

8.1 Privacy Policy

EGP's collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.2 Client Data Processing

When EGP processes data on behalf of Clients in connection with the Services, EGP acts as a data processor. The terms governing such processing are set forth in our Data Processing Agreement, available upon request.

8.3 Data Security

EGP implements appropriate technical and organizational measures to protect Client data against unauthorized access, alteration, disclosure, or destruction. However, no method of electronic transmission or storage is completely secure, and EGP cannot guarantee absolute data security.

8.4 Data Portability

Upon request, EGP will provide Client data in a commonly used, machine-readable format (JSON or CSV) within 30 days. Upon termination, Client data will be retained for 90 days to facilitate transition, after which it will be securely deleted unless retention is required by law.

9. Confidentiality

9.1 Definition

"Confidential Information" means any information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. Client Content and the terms of any service agreement constitute Confidential Information.

9.2 Obligations

Each party agrees to: (a) protect the other party's Confidential Information using at least the same degree of care it uses for its own similar information, but no less than reasonable care; (b) not disclose Confidential Information to third parties except as permitted herein; and (c) use Confidential Information only for purposes related to these Terms.

9.3 Exceptions

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed without reference to the disclosing party's information; or (d) is disclosed pursuant to legal requirement, provided the receiving party gives reasonable notice to the disclosing party.

10. Representations and Warranties

10.1 Mutual Representations

Each party represents and warrants that: (a) it is duly organized and validly existing under applicable law; (b) it has the authority to enter into these Terms; and (c) its performance under these Terms does not violate any other agreement to which it is bound.

10.2 Client Representations

You represent and warrant that: (a) all information you provide to EGP is accurate and complete; (b) you have the right to provide all Client Content to EGP; (c) your use of the Services complies with all applicable laws; and (d) you will not use the Services in violation of these Terms.

11. Disclaimers

11.1 General Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." EGP MAKES NO EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. EGP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

11.2 AI Services Disclaimer

DUE TO THE INHERENT LIMITATIONS OF ARTIFICIAL INTELLIGENCE TECHNOLOGY, EGP DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED OUTPUT. AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR BIASED INFORMATION. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL AI OUTPUT BEFORE USE. AI OUTPUT DOES NOT CONSTITUTE PROFESSIONAL ADVICE OF ANY KIND, INCLUDING LEGAL, MEDICAL, FINANCIAL, OR INVESTMENT ADVICE.

11.3 Search Visibility Disclaimer

EGP DOES NOT GUARANTEE ANY SPECIFIC RANKING, PLACEMENT, OR VISIBILITY IN SEARCH ENGINE RESULTS, AI-POWERED SEARCH PLATFORMS, OR ANY OTHER THIRD-PARTY PLATFORM. SEARCH VISIBILITY RESULTS DEPEND ON NUMEROUS FACTORS OUTSIDE EGP'S CONTROL, INCLUDING THIRD-PARTY ALGORITHMS, MARKET CONDITIONS, AND COMPETITOR ACTIVITY.

11.4 Third-Party Services

THE SERVICES MAY INTEGRATE WITH OR RELY ON THIRD-PARTY PLATFORMS, SERVICES, AND TECHNOLOGIES. EGP IS NOT RESPONSIBLE FOR THE AVAILABILITY, ACCURACY, OR PERFORMANCE OF ANY THIRD-PARTY SERVICES.

12. Limitation of Liability

12.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO EGP DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.3 Exceptions

The limitations in this Section 12 do not apply to: (a) breaches of Section 9 (Confidentiality); (b) either party's indemnification obligations; (c) your payment obligations; or (d) claims arising from willful misconduct or fraud.

13. Indemnification

13.1 Client Indemnification

You agree to indemnify, defend, and hold harmless EGP, its affiliates, and their respective directors, officers, employees, and agents from and against any liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Services in violation of these Terms; (b) your Client Content; (c) your violation of any applicable law; or (d) your gross negligence or willful misconduct.

13.2 EGP Indemnification

EGP agrees to indemnify, defend, and hold harmless you and your directors, officers, employees, and agents from and against any liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of a third-party claim alleging that the Services infringe any third-party intellectual property right, excluding claims arising from: (a) your modification of the Services; (b) your combination of the Services with materials not provided by EGP; or (c) your use of the Services in violation of these Terms.

14. Termination

14.1 Termination for Convenience

Either party may terminate these Terms upon 30 days written notice, subject to any minimum commitment periods in your service agreement.

14.2 Termination for Cause

Either party may terminate these Terms immediately upon written notice if the other party: (a) materially breaches these Terms and fails to cure the breach within 30 days of written notice; or (b) becomes insolvent, files for bankruptcy, or ceases operations.

14.3 Suspension

EGP may suspend your access to the Services immediately if: (a) you fail to pay fees when due; (b) your use of the Services poses a security risk; (c) your use violates these Terms or applicable law; or (d) suspension is required by law or legal process.

14.4 Effect of Termination

Upon termination: (a) your right to use the Services ceases immediately (or at the end of the current billing cycle for termination for convenience); (b) you must pay all outstanding fees; (c) each party must return or destroy the other party's Confidential Information; and (d) Sections 4, 7, 8, 9, 11, 12, 13, 15, and 16 survive termination.

15. AI-Powered Services

15.1 Disclosure

EGP uses artificial intelligence and machine learning technologies in the delivery of its Services. These technologies include, but are not limited to: automated content generation, search optimization algorithms, voice agent systems, document analysis tools, workflow automation, and data analytics.

15.2 No Training on Client Data

EGP does not use Client Content to train, retrain, fine-tune, or otherwise improve third-party artificial intelligence models. Client data is used solely for the purpose of delivering the contracted Services.

15.3 Human Oversight

EGP maintains human oversight of AI-powered processes. However, certain automated functions operate without real-time human review. You acknowledge that AI outputs should be reviewed by qualified personnel before reliance or publication.

15.4 AI Output Accuracy

You acknowledge and agree that AI-generated content may contain inaccuracies, errors, or biases. EGP is not liable for any damages arising from reliance on AI-generated output without independent verification.

16. General Provisions

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.

16.2 Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be submitted to good-faith negotiation between the parties for a period of 30 days. If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Fairfax County, Virginia.

16.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

16.4 Severability

If any provision of these Terms is held to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.5 Waiver

No failure or delay by either party in exercising any right under these Terms constitutes a waiver of that right. A waiver of any breach is not a waiver of any subsequent breach.

16.6 Assignment

You may not assign these Terms or any rights or obligations hereunder without EGP's prior written consent. EGP may assign these Terms upon written notice to you.

16.7 Force Majeure

Neither party is liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, acts of government, telecommunications failures, or utility outages.

16.8 Entire Agreement

These Terms, together with our Privacy Policy, AI Disclosure, Cancellation Policy, Processing Fee Policy, and any applicable service agreements or order forms, constitute the entire agreement between you and EGP regarding the subject matter hereof.

16.9 Notices

16.10 Independent Contractors

The relationship between EGP and you is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
